1. Services

1.1 Scope. TITUS Security ("Provider") will supply, install, and operate a Video Monitoring System at the Client's construction site, including: (a) trailer-mounted camera tower with pan-tilt-zoom and fixed cameras; (b) on-site NVR with AI-based motion detection; (c) cloud backup of triggered clips; (d) 24/7 remote monitoring access via web/mobile.

1.2 Response Protocol. Upon detecting suspicious activity, Provider will: (i) activate on-site audio warning and strobe; (ii) attempt live voice intervention; (iii) notify Client's designated contacts; (iv) contact local authorities if instructed by Client.

2. Term & Termination

2.1 Initial Term. This Agreement begins on the Installation Date and continues month-to-month.

2.2 Termination. Either party may terminate with 30 days' written notice. Early termination by Client within 6 months incurs Mobilization/Demobilization Fee.

3. Fees & Payment

3.1 Monthly Fee. Client shall pay the Monthly Monitoring Fee specified above, plus applicable taxes, due Net 30 from invoice date.

3.2 Late Payment. Overdue amounts accrue interest at 1.5% per month. Provider may suspend service after 15 days past due.

4. Equipment

4.1 Ownership. All equipment remains Provider's property. Client shall not modify, relocate, or remove equipment without written consent.

4.2 Access. Client grants Provider reasonable site access for installation, maintenance, and removal.

5. Client Responsibilities

5.1 Site Conditions. Client shall provide adequate power supply (120V/15A dedicated circuit) and maintain clear camera sight lines.

5.2 Contact List. Client shall maintain current emergency contact information.

6. Data & Privacy

6.1 Recording. Video is recorded continuously; AI-triggered clips retained for 30 days minimum.

6.2 Access. Client may access live and recorded video via secure portal. Provider may access for service delivery and support.

6.3 Compliance. Both parties shall comply with applicable privacy legislation (PIPEDA, provincial equivalents).

7. Limitation of Liability

7.1 Cap. Provider's total liability shall not exceed fees paid in the 12 months preceding the claim.

7.2 Exclusions. Provider is not liable for: acts of third parties; force majeure; Client's failure to act on alerts; indirect or consequential damages.

7.3 No Guarantee. Provider does not guarantee prevention of all theft, vandalism, or loss.

8. Insurance

Provider maintains Commercial General Liability insurance of $2,000,000 per occurrence.

9. General

9.1 Entire Agreement. This document constitutes the entire agreement and supersedes prior discussions.

9.2 Amendments. Changes require written agreement signed by both parties.

9.3 Governing Law. This Agreement is governed by the laws of British Columbia, Canada.

9.4 Assignment. Neither party may assign without written consent, except Provider may assign to an affiliate or successor.
